Welcome to Guild Mark Studio. These Terms and Conditions govern your access to and use of GuildMarkStudio.com, our custom design services, merchandise collections, communications, and related services.
Guild Mark Studio is a division of First Edition Design Publishing, Inc., a Florida corporation. In these Terms and Conditions, “Guild Mark Studio,” “we,” “us,” and “our” refer to Guild Mark Studio and First Edition Design Publishing, Inc. “You” and “your” refer to website visitors, guild representatives, coordinators, customers, merchandise purchasers, and anyone using our services.
By accessing this website, submitting an inquiry, requesting a design, approving artwork, purchasing merchandise, or otherwise using our services, you agree to these Terms and Conditions and our Privacy Policy. Please do not use our website or services if you do not agree to these terms.
1. Our Services
Guild Mark Studio creates original logos, crests, heraldry, and coordinated merchandise collections for guilds, clans, kins, kinships, esports teams, raiding groups, roleplaying communities, gaming clubs, and other gaming communities.
Our standard service may include:
- A Guild Heraldry Design Questionnaire;
- Multiple initial design concepts;
- One set of minor revisions to the selected concept;
- Preparation of the approved design for merchandise;
- A coordinated collection containing up to 20 merchandise items; and
- A direct Etsy link that the group may share with its members.
The standard design and merchandise setup service is currently offered without an upfront design fee to qualifying gaming communities with at least 10 members.
Merchandise is not free. Individual purchasers are responsible for the product price, shipping charges, taxes, customs charges, and any other costs displayed during Etsy checkout.
Optional or additional services, including social-media graphics, banners, extensive revisions, alternate design directions, or other work outside our standard service, may require a separate fee. Any applicable fee will be disclosed before the additional work begins.
We may modify, limit, suspend, or discontinue any complimentary service or eligibility requirement at any time.
2. Authorized Guild Representative
The person submitting a design request represents that they are at least 18 years old and are authorized to communicate and make decisions on behalf of the guild, clan, kinship, team, or gaming community identified in the request.
Guild Mark Studio may rely on instructions, selections, revisions, and approvals received from the designated coordinator or representative. We are not responsible for internal disagreements, voting disputes, leadership changes, or conflicting instructions among group members.
The designated representative is responsible for obtaining the group’s approval before providing final authorization.
3. Information Provided to Guild Mark Studio
You agree to provide information that is complete and accurate to the best of your knowledge. This may include your group’s name, game, history, lore, colors, symbols, motto, imagery, preferred style, and other creative direction.
You represent and warrant that:
- You are authorized to submit the information and materials you provide;
- Your submissions do not knowingly violate another person’s copyright, trademark, privacy, publicity, or other legal rights;
- You will not request content that is unlawful, fraudulent, threatening, defamatory, hateful, discriminatory, or otherwise inappropriate; and
- You will not falsely claim ownership of artwork, logos, photographs, text, or other content belonging to another party.
- Reference images may be submitted for general inspiration. Guild Mark Studio will not knowingly copy another artist’s work, an official game logo, a protected character, another gaming community’s design, or other protected artwork.
We may refuse or discontinue any project that presents legal, intellectual-property, reputational, technical, or ethical concerns.
4. Intellectual Property and Artwork Ownership
All artwork created by Guild Mark Studio remains the exclusive property of Guild Mark Studio and First Edition Design Publishing, Inc.
This ownership includes, without limitation:
- Preliminary concepts;
- Rejected or unused concepts;
- Sketches and drafts;
- Revised designs;
- Final approved artwork;
- Merchandise layouts;
- Product mockups;
- Source and production files;
- Design elements and compositions; and
- Adaptations and derivative versions of the artwork.
Payment for merchandise does not transfer ownership of the underlying artwork or intellectual-property rights.
Guild Mark Studio retains all copyrights and other applicable rights in its artwork. No copyright, trademark, source file, production file, or ownership interest is transferred unless Guild Mark Studio expressly agrees to the transfer in a separate written agreement signed by an authorized representative of Guild Mark Studio.
5. Limited Permission to Use an Approved Design
After final approval, Guild Mark Studio grants the represented gaming community a limited, nonexclusive, nontransferable, nonsublicensable, and revocable license to:
- Display the approved design as part of the group’s identity;
- Share the design within the group’s online community;
- Display the design on the group’s website, Discord server, social-media pages, or similar community channels; and
- Promote and share the group’s official Guild Mark Studio Etsy merchandise link.
This limited permission does not allow you or any group member to:
- Sell, license, transfer, or sublicense the artwork;
- Register the artwork as a copyright or trademark;
- Claim authorship or ownership of the artwork;
- Modify, redraw, recolor, animate, or create derivative artwork without permission;
- Provide the artwork to another designer, printer, manufacturer, or print-on-demand company;
- Place the artwork on merchandise not authorized by Guild Mark Studio;
- Create competing products or storefronts using the artwork;
- Use the artwork for fundraising or other commercial purposes without written permission; or
- Remove or alter any ownership notice, attribution, or identifying information associated with the design.
Additional uses may be authorized through a separate written licensing agreement.
Guild Mark Studio may revoke this limited permission if these Terms and Conditions are violated, if the design becomes connected with unlawful or harmful conduct, or if continued use creates a reasonable legal or reputational risk.
6. Guild Mark Studio’s Promotional Rights
Guild Mark Studio may display completed designs, merchandise mockups, group names, and publicly available community information in its portfolio, website, Etsy storefront, social-media accounts, advertisements, promotional materials, and design examples.
We will not intentionally publish private information supplied through the design questionnaire.
When you voluntarily provide photographs of members wearing or displaying Guild Mark Studio merchandise, you grant Guild Mark Studio permission to reproduce, crop, resize, and publish those photographs for portfolio and promotional purposes.
You represent that you have permission from every recognizable person in a submitted photograph. Photographs containing minors must be submitted or authorized by the minor’s parent or legal guardian.
You may ask us not to feature your group by notifying us before the design or photograph is published.
7. Design Concepts and Revisions
Guild Mark Studio will create multiple initial design concepts based on the information and creative direction supplied by the group representative.
After a preferred concept is selected, the standard service includes one set of minor revisions. Minor revisions may include reasonable changes to:
- Colors;
- Text;
- Placement;
- Positioning; or
- Small design details.
Minor revisions do not include a completely new concept, a different design direction, extensive redrawing, or restarting the project.
Requests outside the standard revision allowance may be declined or may require an additional fee.
Guild Mark Studio retains creative discretion over composition, typography, imagery, print suitability, and technical requirements. Not every requested detail can be included, particularly when a design must remain clear and printable across products of different sizes and shapes.
8. Final Approval
The group representative will be asked to provide final approval before merchandise is created.
Final approval confirms that the representative has reviewed and accepted:
- The group name and spelling;
- All wording and punctuation;
- Colors;
- Symbols and imagery;
- Overall design and layout; and
- The design’s readiness for merchandise production.
Once final approval is provided, Guild Mark Studio may begin creating merchandise and product listings. Guild Mark Studio is not responsible for an error, preference change, or omitted detail that was visible in the approved design.
Changes requested after final approval may be declined, delayed, or subject to an additional fee.
9. Project Timing and Inactive Projects
Any completion date or estimated timeline is an estimate rather than a guarantee. Project timing may be affected by design complexity, active workload, the completeness of the questionnaire, communication delays, revision requests, technical requirements, or the time required for the group to review and approve concepts.
Guild Mark Studio may pause or close a project when the representative does not respond within a reasonable period. A paused or closed project may need to be rescheduled if the representative later wishes to continue.
10. Merchandise Collections
After final design approval, Guild Mark Studio may create a coordinated merchandise collection containing up to 20 items.
The number and type of products offered depend on:
- The design;
- Printing requirements;
- Product availability;
- Available sizes and colors;
- Supplier capabilities;
- Shipping destinations; and
- Marketplace restrictions.
Guild Mark Studio does not guarantee that every requested design will be suitable for every product.
We may add, remove, replace, update, or discontinue products at any time. Guild coordinators may request additional products, colors, or sizes, but availability is not guaranteed.
11. Etsy Orders and Third-Party Services
Guild Mark Studio merchandise is offered through Etsy. Etsy is an independent third-party marketplace and is not owned or controlled by Guild Mark Studio.
When purchasing through Etsy, you are also subject to:
- Etsy’s Terms of Use;
- Etsy’s Buyer Policy;
- Etsy’s payment and checkout requirements;
- The return policy displayed in the applicable listing or shop;
- The shipping information displayed for the product; and
- Any other Etsy policy applicable to the transaction.
Product manufacturing, printing, packaging, or shipping may be performed by third-party production and fulfillment providers.
Guild Mark Studio is not responsible for Etsy outages, account restrictions, payment-processing delays, third-party platform changes, carrier delays, or other matters outside our reasonable control.
Product prices, shipping costs, taxes, estimated delivery dates, and available destinations will be displayed through Etsy before checkout.
12. Product Images, Colors, and Sizing
Product photographs and mockups are provided as visual representations. The final product may vary slightly because of:
- Screen and monitor settings;
- Printing methods;
- Fabric or material texture;
- Product dimensions;
- Manufacturing tolerances;
- Design placement; and
- Differences between digital mockups and physical production.
Customers are responsible for reviewing the product description, measurements, size chart, color options, and care instructions before ordering.
A slight variation in color, placement, size, or appearance that is customary for the product or printing method will not necessarily constitute a defect.
13. Product Care
Customers are responsible for following all care instructions included in the applicable product description or packaging.
Guild Mark Studio’s 20-ounce travel tumblers are hand-wash only. They should not be placed in a dishwasher. Tumblers should be washed gently by hand and should not be soaked for extended periods.
Damage resulting from improper washing, dishwasher use, misuse, neglect, normal wear, unauthorized alteration, or failure to follow product-care instructions is not considered a manufacturing defect.
14. Returns, Replacements, and Refunds
Guild Mark Studio does not maintain a separate general return or refund policy for merchandise outside the policies displayed through Etsy.
Customers who receive a product that is defective, damaged, materially different from the listing, incorrectly printed, or incorrect should promptly use Etsy’s Help with Order feature from the applicable purchase page.
Customers may be asked to provide photographs, packaging information, or other documentation needed to evaluate the problem.
Eligibility for a return, replacement, cancellation, or refund is determined by:
- The return policy displayed in the applicable Etsy listing or shop;
- Etsy’s then-current policies and case procedures;
- The circumstances of the order; and
- Applicable law.
A refund or replacement is not guaranteed merely because a customer changes their mind, selects the wrong size or color, provides an incorrect address, fails to follow care instructions, or decides that an accurately described product does not meet their personal preference.
Nothing in these Terms and Conditions limits any nonwaivable consumer right provided by applicable law.
15. Shipping, Customs, and Delivery
Estimated production and delivery dates are not guaranteed.
Guild Mark Studio is not responsible for delays caused by:
- Carriers;
- Weather;
- Customs processing;
- Incorrect or incomplete delivery information;
- Service interruptions;
- Labor disruptions;
- International restrictions; or
- Other circumstances outside our reasonable control.
International availability depends on the product, destination, supplier, carrier, and options displayed through Etsy.
International customers are responsible for customs duties, import taxes, tariffs, brokerage charges, carrier fees, or other destination-related charges unless Etsy expressly states otherwise during checkout.
Customers are responsible for confirming that their shipping address is complete and accurate before placing an order.
16. Originality and Third-Party Rights
Guild Mark Studio creates original artwork based on the information and direction provided by the gaming community.
We do not intentionally reproduce official game logos, protected characters, third-party artwork, or another community’s design.
However, Guild Mark Studio does not provide trademark searches, copyright-clearance opinions, or legal opinions concerning the availability or registrability of a name, phrase, motto, symbol, or design.
Because gaming communities may use existing game names or provide words, phrases, symbols, and concepts, we cannot guarantee that every submitted element is legally available in every country or for every possible use.
The customer is responsible for obtaining independent legal advice before attempting to register or commercially exploit any name, phrase, symbol, or other element supplied by the customer.
If we receive a credible intellectual-property complaint, we may suspend the project, remove a listing, discontinue merchandise, modify the design, or terminate permission to use the disputed material while the matter is reviewed.
17. No Affiliation With Game Publishers or Etsy
Guild Mark Studio is an independent business.
Unless expressly stated otherwise, Guild Mark Studio and its designs are not sponsored, licensed, endorsed, approved by, or affiliated with:
- Any video-game developer or publisher;
- Any game platform;
- Any esports organization;
- Etsy, Inc.; or
- Any trademark owner mentioned for descriptive purposes.
References to game names are intended only to identify the gaming community for which an original design was created and do not imply an official relationship.
18. Website Use
You may use this website only for lawful purposes. You may only use our services if you have agreed to our Terms and Conditions and have read through our FAQ section
You may not:
- Attempt to interfere with the website’s operation or security;
- Introduce malware or harmful code;
- Scrape, copy, reproduce, or republish website content without permission;
- Impersonate another person or organization;
- Submit false or misleading information;
- Use the website to transmit spam or unauthorized promotions; or
- Use Guild Mark Studio’s name, artwork, website, or services for unlawful or infringing activity.
All website text, graphics, logos, images, layouts, and other content are owned by or licensed to Guild Mark Studio and are protected by applicable intellectual-property laws.
19. Right to Refuse or Discontinue Service
Guild Mark Studio reserves the right to refuse, pause, or discontinue a project or service when:
- These Terms and Conditions are violated;
- False, misleading, or unauthorized information is provided;
- The requested content may infringe another party’s rights;
- Communications become threatening, abusive, discriminatory, or harassing;
- The project presents technical, legal, ethical, or reputational concerns;
- The representative repeatedly fails to respond; or
- Continuing the relationship is not reasonably workable.
When a complimentary design service is discontinued, no payment or compensation is owed for uncompleted free work.
Discontinuing a design relationship does not automatically affect completed merchandise orders, which remain subject to the applicable Etsy policies and listing terms.
20. Disclaimer of Warranties
To the fullest extent permitted by law, the website, complimentary design services, artwork, merchandise listings, and related services are provided on an “as available” basis.
Guild Mark Studio does not guarantee:
- Uninterrupted website or Etsy availability;
- A particular level of merchandise sales;
- Increased membership, participation, recruitment, or engagement;
- Delivery by a specific date;
- Availability of every product, size, or color;
- Acceptance of a design by every group member;
- Eligibility for copyright or trademark registration; or
- That a submitted group name, phrase, symbol, or concept is free of all third-party claims.
Any express product warranty provided by a manufacturer or required by law remains subject to its applicable terms.
21. Limitation of Liability
To the fullest extent permitted by law, Guild Mark Studio, First Edition Design Publishing, Inc., and their owners, officers, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost opportunities, reputational harm, lost data, or loss of community membership.
To the fullest extent permitted by law, our total liability arising from a particular product or paid service will not exceed the amount paid directly for the product or service giving rise to the claim.
Nothing in this section excludes or limits liability that cannot legally be excluded or limited.
22. Indemnification
You agree to defend, indemnify, and hold harmless Guild Mark Studio, First Edition Design Publishing, Inc., and their owners, officers, employees, contractors, suppliers, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from:
- Materials or instructions you submitted;
- Your unauthorized use of the artwork;
- Your breach of these Terms and Conditions;
- Your violation of another party’s intellectual-property, privacy, publicity, or other rights;
- A dispute concerning your authority to represent the gaming community; or
- Your unlawful or improper use of our website, designs, or services.
23. Privacy
Information submitted through our website or communications is handled according to our Privacy Policy.
Etsy and other third-party platforms process information under their own privacy policies. Guild Mark Studio is not responsible for the privacy practices of independent third parties.
24. Changes to These Terms
We may revise these Terms and Conditions periodically.
The updated version will be posted on this page with a revised “Last Updated” date. Changes become effective when posted unless a later effective date is stated.
Your continued use of the website or services after an update constitutes acceptance of the revised Terms and Conditions.
25. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any dispute that cannot be resolved informally will be brought in a court of competent jurisdiction located in Sarasota County, Florida, unless applicable law requires otherwise.
Before filing a legal action, the parties agree to make a reasonable good-faith effort to resolve the dispute through written communication.
26. Severability
If any provision of these Terms and Conditions is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
27. No Waiver
A failure by Guild Mark Studio to enforce any provision of these Terms and Conditions does not waive our right to enforce that provision or any other provision later.
28. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, applicable written project communications, Etsy listing terms, and any separately signed agreement, constitute the entire agreement concerning your use of our website and services.
If a separately signed written agreement directly conflicts with these Terms and Conditions, the separately signed agreement will control for the specific matter it addresses.
